PART ONE — Terms of Service

1. About these terms

LocalCircuits is operated by Local Circuits, Inc. ("LocalCircuits," "we," "us"). These terms are an agreement between you and Local Circuits, Inc.

By creating an account or using LocalCircuits, you agree to these terms. If you do not agree, do not create an account.

2. Your account

2.1 You must be 18 or older to create an account. LocalCircuits is for adults. We do not knowingly collect information from anyone under 18.

2.2 You create an account by signing in with Google, with an email sign-in link, or with a password. You are responsible for keeping access to that account secure.

2.3 You agree to give us accurate information and to keep it current.

2.4 Households. Parents or guardians can link their accounts into one household. Everyone in a household shares the same check-in history and the same school connection, so any member's check-in counts for the household. Circuit Passes are different: a Circuit Bundle belongs to the account that bought it, and only that account can show and use its Passes. Every member of a household can see and share the household's invite code. Anyone can leave a household at any time; leaving does not move any Circuit Passes. A Pass belongs to one account, but the purchase limit in Section 19.2 counts the whole household.

2.5 You may close your account at any time by emailing support@localcircuits.com. Closing your account does not by itself entitle you to a refund (Section 17.2 still applies within its 7 day window), and unredeemed Circuit Passes are not restored.

3. Location

3.1 When you open a Circuit Pass to redeem it, your device asks permission to share its location. We use it once, in the moment, to check how far you are from the business, and we keep only that distance. We do not keep the location itself.

3.2 We never collect your location in the background, and we never use it for advertising. You can say no: the Pass still works, and nothing else about your account changes.

4. What we do and do not do

4.1 LocalCircuits connects families, schools, and local businesses. We run the app and the fundraising campaign.

4.2 We are not the businesses. We do not make the food, run the activities, or control the premises. Each business is responsible for what it serves, provides, and does. If something goes wrong with a meal, an activity, or a visit, that is between you and that business, though we want to hear about it and will help where we can.

5. Privacy and children

5.1 Our Privacy Policy at https://localcircuits.com/privacy explains what we collect and why.

5.2 LocalCircuits is for adults. We never ask for a child's name, age, grade, or photo, and there are no child accounts or child logins.

5.3 We do not publish where any family will be.

6. Using LocalCircuits properly

You agree not to: create more than one account or household to obtain extra Circuit Passes; falsify where you are when you open a Pass; transfer or sell Circuit Passes; or use the app to harass a business or its staff. We may suspend or close an account for any of these.

7. Changes to these terms

We may update these terms. If we make a material change, we will tell you in the app or by email. Changes never apply retroactively to Circuit Passes you already hold. The version in effect when you bought a Circuit Bundle governs that purchase.

8. Disclaimers

LocalCircuits is provided "as is." We do not promise the app will always be available or error free. We do not promise any particular fundraising result for your school.

9. Limitation of liability

To the fullest extent the law allows, Local Circuits, Inc. is not liable for indirect, incidental, special, or consequential damages. Our total liability to you for any claim relating to these terms or a Circuit Bundle will not exceed the amount you paid for that Circuit Bundle. Nothing in these terms limits liability that cannot be limited by law, including under California Civil Code Section 1668.

10. Dispute resolution

10.1 Let us fix it first. Email support@localcircuits.com before starting any formal proceeding. Most problems are a five minute conversation.

10.2 Arbitration. If we cannot resolve it, you and Local Circuits agree to resolve any dispute by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and its Consumer Arbitration Minimum Standards, rather than in court, except that either of us may bring a claim in small claims court. The arbitration will take place in Napa County, California, or by video, at your choice. We will pay all JAMS filing, administrative, and arbitrator fees beyond the first $250 of any filing fee you owe. Nothing in this section prevents either of us from seeking public injunctive relief in court where California law allows it.

10.3 No class actions. You and Local Circuits agree to bring claims only individually, not as a plaintiff or class member in any class or representative action.

10.4 You can opt out. You may opt out of Sections 10.2 and 10.3 by emailing support@localcircuits.com within 30 days of the later of creating your account and the date these terms first apply to you. Opting out does not affect anything else in these terms and does not affect your account.

10.5 These terms are governed by California law. Any dispute not subject to arbitration will be brought in the state or federal courts in Napa County, California.

10.6 Notice to California residents. Under California Civil Code Section 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210. LocalCircuits is provided by Local Circuits, Inc.; you can reach us at support@localcircuits.com.

11. General

These terms, together with the Circuit Pass Terms in Part Two and our Privacy Policy, are the entire agreement between you and us. If any part is unenforceable, the rest still applies. We may assign these terms in connection with a merger or sale of our business.

PART TWO — Circuit Bundle Purchase and Circuit Pass Terms

These terms apply when you buy a Circuit Bundle. They are part of the Terms of Service above.

12. What you are buying

12.1 A Circuit Bundle is a set of promotional offers, called Circuit Passes, donated by several local businesses to support a specific school.

12.2 Each Circuit Pass is good for the offer described on it, at the business named on it, until the expiration date shown on it.

12.3 You are buying a Circuit Bundle usable across several unaffiliated local businesses. You are not buying credit, a balance, or an account with any of those businesses.

13. How Circuit Passes work

Every Circuit Pass is:

A Circuit Pass is a promotional offer. It is not a gift card, gift certificate, store credit, or any form of stored value.

14. Expiration

14.1 Every Circuit Pass shows its expiration date on its face, from the moment you receive it. Different businesses have different expiration dates, so check each Pass.

14.2 We may extend an expiration date. We will never shorten one after you have received a Pass.

14.3 Passes that expire unused are not refunded, extended, or replaced. Your purchase supported your school when you made it, and that part is done regardless of whether you redeem.

15. Redeeming a Pass

15.1 Show the Pass in the app to a staff member; they press and hold the redeem button on your phone. A Pass is redeemed from your own phone, so if you have no signal, wait a moment or step outside. Staff cannot redeem it from their own device.

15.2 The restrictions on the Pass are the only ones that apply. If a business tries to add a condition that is not printed on your Pass, tell us at support@localcircuits.com and we will sort it out with them.

15.3 If a Pass will not validate, do not argue at the counter. Contact us and we will look into it and get back to you.

16. If a business closes or stops honoring Passes

16.1 If a business permanently closes, its obligation to honor Circuit Passes ends on the day it closes.

16.2 We are not obligated to refund, replace, or substitute a Pass in that situation, but we may choose to offer a substitute Pass or another accommodation, at our discretion. We will try to make it right. We are telling you in advance that we are not promising to.

16.3 A business that is open but will not honor your Pass is a different situation. Contact us at support@localcircuits.com and we will take it up with them directly. If they still will not honor it, we will replace your Pass with a comparable one. Do not argue at the counter and please do not take it to the school.

17. Payment, refunds, and chargebacks

17.1 Payment is processed by Stripe. At least 90% of what you pay goes to your school's nonprofit organization, and we pay it to them no later than 10 business days after the sale period closes.

17.2 Refunds. You may request a full refund within 7 days of your purchase if no offer in that Circuit Bundle has been redeemed. Once any offer in the Bundle has been redeemed, or 7 days after your purchase, the purchase is final. Separately, we will correct a duplicate charge or a technical error on our end whenever you tell us about it; contact support@localcircuits.com as soon as you notice. Our Refund Policy at localcircuits.com/refund-policy restates this section in plain language. If the two ever differ, this section controls, and Section 7 applies to any change to either.

17.3 Your card statement will show a charge from LOCAL CIRCUITS, INC. Some banks shorten it, for example to LOCAL CIRC. If you see a charge you do not recognize, please contact us at support@localcircuits.com before disputing it with your bank so we can fix the problem directly and quickly.

18. Where your money goes

18.1 At least 90% of what you pay goes to your school's nonprofit organization. The rest covers payment processing and running the network.

18.2 Your purchase is not a tax deductible charitable contribution. You are receiving Circuit Passes in exchange for it. We do not give tax advice, and we will not issue a donation receipt. If you have questions, ask your tax advisor.

19. Limits

19.1 The number of Circuit Bundles available for a campaign may be limited. When they are gone, they are gone.

19.2 One Circuit Bundle per household per campaign. A Circuit Pass we give you directly — to replace one, or as a thank-you — is not a purchase and does not count toward this limit. If more than one Bundle is bought for a household, we will refund the extra under Section 17.2.
